Welcome

Welcome to the Millvale Sportsmen's Club, Inc. The farm and facilities are here for the enjoyment of all members and their guests. We hope that you will join us in maintaining the quality of these facilities. All sporting and shooting activities are carried on within the guidelines of the Pennsylvania Game, Fish and Forestry Commissions. Activities of the club are governed by a fifteen (15) member elected Board of Directors. All members of the Board of Directors are responsible for enforcing the rules and regulations. Any person disregarding the club rules may be asked to leave the club grounds and/or have their membership revoked after a review by the Board. All applicants for membership must be completed in person at the club, signed by the applicant, and endorsed by a member in good standing. Meetings of the general membership are held at 8:00 P.M. on the last Thursday of every month here on the farm, unless otherwise notified. Board of Directors meet at the club house on the first Thursday of each month at 8:00 P.M. All rules are subject to change by the authority of the Board of Directors.

BAR RULES

No unauthorized person behind bar (Bar committee, directors and agents only). No firearms permitted at bar or bar area. No alcoholic beverages permitted outside club house. All members must sign in guests and pay for guests' alcoholic beverages. Bar hours will be regulated by the house committee with the majority approval of the board of directors. Last call will normally be given at 11:30 P.M. during week night activities and 5:00 P.M. on Sundays. Special activities and events may be granted a variance with majority approval of the board of directors. No animals are permitted in club house unattended or without proper restraint. No animals are permitted in kitchen at anytime.

PICNIC SHELTER 

  1. Rental must be approved by a letter to the Board of Directors, including the rental fee of $75.00 per day.
  2. Clean-up fee is an additional $25.00. total de posit - $100.00
  3. Clean-up tee will be refunded if picnic shelter is left in a clean and orderly and sanitary condition.
  4. No alcoholic beverages are to be taken from the shelter to the club house, and no alcoholic beverages are to be taken from the club house to the shelter.
  5. All activities are to be held in or adjacent to the picnic shelter.

EDUCATION COMMITTEE
      RE: FUNCTION AND RULES

bulletThis committee is responsible for the dissemination of information and the proper instruction of those, non competitive activities, pertaining to hunter education, rifle, pistol, shotgun, home safety, and voluntary firearm programs.
bullet It will be conducted under the supervision of personnel trained and certified to conduct such a program. 
bulletFirearms and ammunition used in these programs will be under the complete supervision of the chief instructor. No one will be permitted to bring or use these items without his or her specific authorization. 
bulletAll students will be required to register and to meet any prerequisites prior to entering the class.
bulletSuccessful completion and qualification for certification will be based upon attendance, grade, participation, attitude, and sportsmanship.\
bulletHorseplay, cheating, disfigurement or destruction of property, or any conduct detrimental to the purpose of the program hi attendance will not be tolerated.
bulletAttendance of the entire program will be required. 
bulletThe handling of firearms, ammunition, or other displays must be under the supervision of an instructor.
bulletAll rules of safety and range conduct will be strictly enforced.
bulletNo rifle or pistol larger than .22 caliber will be permitted on the indoor range.
bulletNo rifle or pistol larger than .22 caliber will be permitted on the outdoor ranges without specific permission from the chief instructor. 
bulletEye and ear protection must be worn when appropriate. 
bulletThere will not be any shooting, on any range, without the direct supervision of an instructor and the presence of a range officer. 
bulletEach student participating in these programs understands that he or she accepts the responsibility of the proper classroom and range conduct and that any infraction thereof, which may result in a dangerous situation, or in an unsportsmanlike atmosphere, is grounds for failure and expulsion from the class or program at the discretion of the instructors.

INDOOR ARCHERY RANGE RULES

  1. All members must register in the clubhouse before using the range. Time must be recorded when registering. 
  2. Use of the range is subject to posted fees. All guests must be accompanied by a member. 
  3. No alcoholic beverages permitted on the range. 
  4. All junior members must be accompanied by a parent or other responsible adult member. 
  5. Members have preference over guests when the range is crowded. 
  6. Shooting time limit of one (1) hour when other archers are waiting. 
  7. No broadheads permitted - field tips only al lowed. 
  8. Cross-bows are permitted. 
  9. Only conventional shooting positions may be used: sitting, kneeling or standing. 
  10. Official approved paper targets only! Targets must be placed on provided holders. Cross- shooting is prohibited. Remember this is a .22 range also, and a steel backstop is behind your target. 
  11. The two (2) primary rules of archery safety must be observed at all times:
         a: Always point the drawn bow down range at all times
         b: Be sure of your target. 
  12. Bow-load one arrow round at a time. 
  13. Be certain all bows are lying on bench before advancing down range. 
  14. Be certain range is clear before shooting. 
  15. Before leaving, return targets to storage area, sweep the area clean of all debris, turn off all lights and notify the caretaker that you are leaving.

RANGE RULES FOR BLACK POWDER SHOOTING

  1. Sign in (register book) at the Clubhouse en trance or with the caretaker before you shoot. If you bring a guest, he must register also and pay the $1 fee (fee subject to change) either with the caretaker or the envelope drop at the Clubhouse door. 
  2. Black powder and Pyrodex is permitted. 
  3. When using black powder you must observe all rifle range rules in addition to those written herein. 
  4. Safety shields must be used on all flintlock bench rifles. 
  5. Keep all powder containers closed, whether bench shooting or off-hand shooting. 
  6. No smoking. 
  7. No intoxicating liquor to be used on firing ranges. 
  8. For "safety's sake" - wear shooting glasses. 
  9. When shooting off-hand, close powder containers, walk to firing line, prime or cap at firing line and only at firing line with loaded gun. 
  10. No loaded firearms can be taken from the firing line. 
  11. Do not load directly from flask or horn into barrel. Charge should be measured and loaded from a separate measuring device.
  12. Do not prime or cap before loading main charge. 
  13. It is recommended that a damp wiping or cleaning patch be run down the barrel between each shot. 
  14. Never attempt to discharge a rifle unless you are certain that the projectile is seated on the powder charge. 
  15. If a flintlock arm cannot be made to discharge at the firing line the flint should be removed from the jaws of the lock before removing the arm from the firing line. 
  16. If a caplock cannot be made to discharge at the firing line the lock should be removed from the arm before removing the arm from the firing line. 
  17. If possible, allow one open position between black powder shooters. 
  18. Place all targets between uprights. No shooting is permitted at an upright. 
  19. Police your shooting area after you have finished shooting. These same rules apply to black powder pistol shooting.

FARM RULES 

  1. The farm shall be closed between midnight and sunrise the following morning. No person shall remain on the farm during these hours, coon hunting excepted. 
  2. No organization is permitted to use the club facilities without first obtaining permission from the Board of Directors. 
  3. It is Unlawful to:
    1. Climb, cut, break or injure any tree or shrub. 
    2. Pick, remove or disturb any plants, flowers, fruits or nuts. 
    3. Deface, damage or remove any buildings, monuments, fences, tables or other property belonging to the club. 
    4. Destroy or deface any notices or rules posted on the farm. 
    5. Kindle a fire for any purpose, except in the places provided for cooking purposes. 
    6. Behave in a boisterous, threatening or in decent manner. 
    7. Use abusive or profane language. 
    8. Throw litter anywhere except in the con-trainers provided for that purpose. 
    9. Drive any vehicle except on provided roadways. 
    10. Gamble, such as dice throwing or card playing.
    11. Consume alcoholic beverages in any shooting areas. 
  4. Garage equipment may only be used by persons designated by the Board of Directors. All persons using club facilities must clean up before leaving.

OUTDOOR ARCHERY RANGES RULES

  1. All members must register in the clubhouse and pay prevailing fee before using the range. No shooting before 9:00 a.m. 
  2. All guests must be accompanied by a member and pay the prevailing range fee. 
  3. All junior members must be accompanied by a parent or other responsible adult members. 
  4. Members have preference over guests when the range is crowed. 
  5. No alcoholic beverages permitted on the range. 6. Shooting time limit of one (1) hour when other archers are waiting. 
  6. Official approved paper targets only! Positively no bottles, cans, or other trash should be used as targets. 
  7. Targets should be placed on straw bales only, not on posts. Targets should not be placed at mid-range. Cross-shooting is absolutely prohibited. 
  8. No broadheads permitted - field tips only al lowed. 
  9. The two (2) primary rules of archery safety must be observed at all times.

    A. Always point the drawn bow down range at all times. 

    B. Be sure of your target. 

     

  10. Only conventional shooting positions may be used: sitting, kneeling or standing. 
  11. Bow-load one arrow round at a time. 
  12. Be certain all bows are lying on ground before advancing down range. 
  13. At all times be certain that the range is clear, or target on the field course, before shooting. Remove all targets and clean up range when through shooting. Deposit all targets and refuse in containers provided.

INDOOR RANGE RULES 

  1. All members must register in the clubhouse be fore using the range.
  2. Use of the range is $ 1.00 (fee subject to change) for members. All guests must be accompanied by a member and pay a $2.00 range fee. 
  3. No alcoholic beverages permitted on the range. 
  4. All Jr. members must be accompanied by a parent or other responsible adult. 
  5. Please enter and leave the range by the outside door. Do not enter the clubhouse basement area. 
  6. 22 Cal. rimfire (short or long rifle) ammunition only. Magnum cartridges are prohibited. Only conventional firing positions may be used:
    bulletRIFLE - prone, sitting, kneeling, oft-hand, bench.
    bulletPISTOL - off-hand, bench. Quick draw, hip shooting, combat, fanning and trick shooting of any kind are forbidden.
  7. Paper targets only!! Targets must be placed within the red rectangular area of the back stop. Cross-firing is prohibited. 
  8. The three (3) primary rules of gun safety must be observed at all times:
    bulletTreat every gun as if it were loaded. 
    bulletAlways point the muzzle in a safe direction. (Down range at all times) 
    bulletBe sure of your target. 
  9. Actions must be left open except when actually firing. 
  10. Rifle - load one round at a time. DO NOT use clips or magazines. 
  11. Be certain all actions are open before advancing down range. 
  12. Be certain range is clear before firing. Before leaving, sweep the area clean of brass, turn off all lights and notify the caretaker that you are leaving.

OUTDOOR PISTOL RANGE RULES

  1. All members must register in the clubhouse before using the range. No shooting before 9:00a.m. 
  2. Use of the range is $1.00 for members. All guests must be accompanied by a member and pay a $2.00 (fee subject to change) range fee. 
  3. All Junior members must be accompanied by a parent or other responsible adult. 
  4. Members have preference over guests when the range is crowded. 
  5. No alcoholic beverages permitted on the range, at any time. 
  6. Paper targets only!! Positively no bottles, cans, or other trash should be used as targets.
  7. Targets should be placed between the uprights only, not on posts. Targets should NOT be placed at mid-range. Cross-firing is absolutely prohibited. 
  8. No High-Powered rifles permitted on the range. 
  9. The three (3) primary rules on gun safety must be observed at all times:
    bulletTreat every gun as if it were loaded. 
    bulletAlways point the muzzle in a safe direction. 
    bulletBe sure of your target. 
  10. Actions must be left open except when actually firing. 
  11. Only the conventional firing position may be used: 
    bulletRIFLE - prone, sitting, kneeling, off-hand, bench 
    bulletPISTOL - off-hand, bench, sitting
    bulletQuick-draw, hip shooting, combat, tanning, and trick shooting of any kind are forbidden. 
  12. Rifle - load one round at a time. DO NOT use clips or magazines. 
  13. Be certain all actions are open before advancing down range. 
  14. BE CERTAIN, at all times, that the range is clear before firing. Remove all targets and clean up range when through shooting. Deposit all targets and refuse in containers provided.

  3. All Jr. members must be accompanied by a parent or other responsible adult. 
  4. Members have preference over guests when the range is crowded. 
  5. No alcoholic beverages permitted on the range at any time. 
  6. Paper targets only!! Positively no glass or plastic bottles, cans, clay targets or other trash should be used as targets. 
  7. Targets should be placed between the uprights 16 only, not on posts. Targets should NOT be placed at mid-range. Cross-firing is absolutely prohibited. 
  8. The three (3) primary rules of gun safety must be observed at all times:
    bulletTreat every gun as if it were loaded. 
    bulletAlways point the muzzle in a safe direction. 
    bulletBe sure of your target. 
  9. Actions must be left open except when actually firing. 
  10. Load one round at a time. Do Not use clips or magazines. 
  11. Be Certain, all actions are open before advancing down range. 
  12. Place RED FLAG mid-range when checking targets as a warning that range is not clear. 
  13. At all times, BE CERTAIN that the range is clear before firing. 
  14. Remove targets and clean up range when through shooting. Deposit all targets and refuse in containers provided.

SKEET RULES

  1. The skeet fields may only be used when the Skeet Committee Chairman or his representative is present. 
  2. Shooters must register at the field. (Maximum squad of five.) No shooter may sign up for more than one squad at a time.
  3. There is a fee of $2.50 per round for members and $3.00 per round for nonmembers. (fee subject to change) 
  4. The three (3) primary rules of gun safety must be observed at all times:
    bulletTreat every gun as if it were loaded.
    bulletAlways point the muzzle in a safe direction. 
    bulletBe sure of your target. 

     

  5. Actions must be left open except when actually firing. Shotguns are not to be loaded until reaching the station. 
  6. Only approved target loads may be fired. High velocity shells are not permitted. 
  7. Speed-up shooting is used during practice. 
  8. Load only one shell at a time at Station 8. 
  9. No squad may begin a round before 9:00 a.m. or after 11:00 p.m. 
  10. No alcoholic beverages permitted in the skeet field area. 
  11. All shooters clean up area before leaving.

TRAP RULES 

1. The trap fields may only be used when the Trap Committee Chairman or his representative is present.
2. Shooters must register before shooting.
3. There is a fee of $2.50 per round for members, $3.00 for non-members (fee subject to change)
4. The three (3) primary rules of gun safety must be observed at all times: 

bulletA. Treat every gun as if it were loaded.
bulletB. Always point the muzzle in a safe direction. 
bulletC. Be sure of your target. 

5. Actions must be left open except when firing. Do Not load or chamber shotshells until it's your turn to shoot. 
6. Only approved target loads may be fired. 3dm, 7'/2 shot max. 
7. No squad may begin a round before 9:00 a.m. or after 11:00 p.m. 
8. No alcoholic beverages are permitted in or around trap field area. 
9. All shooters must clean up the area before leaving.

LAKE RULES 

1. All fishermen must purchase a permit and members must present their membership cards be fore going to the lake. 
2. Fishing permit fees are as follows: Members $2.50 Junior and Student Members $2.50 Guests with a member $4.00 Guests without a member $6.00 Children under 12 (related to a member) $1.00 Annual Permit (members only) $20.00 (fees subject to change) 
3. A single permit allows the following catch:

bullet2  Trout
bullet2  Bass (Bass must be in season)
bulletPanfish - Unlimited. 

4. Roads to the lake may be used at your own risk. All roads are closed in wet weather. 
5. Park only in the parking lot. Parking on the dam is prohibited. 
6. Swimming, wading, and boating is absolutely prohibited. 
7. Shooting on or into the lake is prohibited. 
8. No Littering!! All trash should be placed in the containers provided, and bottles should be returned to the clubhouse. 
9. Do not throw debris of any kind into the lake. 
10. Ice fishing is prohibited. 
11. All tackle in accordance with Pennsylvania Fish Commission rules is legal. 
12. Use of live minnows is prohibited. 
13. Any fish taken must be signed out at the club house. 
14. All junior members must be accompanied by a parent or responsible adult. 
15. Trapping of any type is by permit only.

 AUGUST, 1996 REVISED CONSTITUTION AND BY-LAWS OF MILLVALE SPORTSMEN'S CLUB, INC.

ARTICLE I Name and Office


1.1. The name of this Corporation shall be: Millvale Sportsmen's Club, Inc. herein-after referred to as M.S.C.I. 

1.2. The Corporation shall maintain its principal office at 170 Sunnyhill Road, Wexford, Pennsylvania 15090.

ARTICLE II Goals and Objectives


2.1. Promote a high standard of ethics of sportsmanship and fellowship among the members and the general public. 

2.2. Promote by all proper means the conservation of our natural resources, especially wildlife, fish, forest, air, and water.

2.3. Provide for the mutual exchange of practical and educational data pertaining to sportsman ship among the members and the general public.

ARTICLE III Membership


3.1.  Membership in this Corporation shall consist of 1300 Senior members plus Junior, Student and Life members. 

bulletA. Senior members - all members in good standing who are eighteen (18) years of age or older. 
bulletB. Junior members - all members in good standing who are twelve (12) to fifteen (15) years of age. 
bulletC. Student members - all members in good standing who are sixteen (16) to twenty- one (21) years of age and currently in high school or a full time college student. 
bulletD. Life members - A Senior member in good standing who has attained the age of sixty- five (65) and has been a member of M.S.C.I. for a minimum of twenty (20) years. 

3.2. Applications for senior, junior, or student membership must be made in person at M.S.C.I. Application must be completed in its entirety and endorsed by a senior or life member in good standing having knowledge of the applicant. A member in good standing is one who has paid all current dues and assessments.


3.3. Acceptance for membership in M.S.C.I. will be by 2/3 majority vote of the Board of Directors. Properly completed applications will be presented to the Board of Directors by the membership committee in order of the date of application as openings come available. Applications for membership may be accepted or rejected based on any/all matters pertaining to the rules, regulations, constitution and By-Laws of M.S.C.I. and matters of ethics, integrity, moral character, etc. as judged by the Board of Directors."

ARTICLE IV Voting 

4.1. Each Senior and Life member in good standing shall be entitled to one (1) vote on each matter submitted to a vote of the membership. 


4.2. A Junior or Student member shall not be en titled to vote. 

ARTICLE V Duties of Members

5.1. All members shall abide fully to these By-Laws and be bound thereby. Members shall comply with all rules and regulations of M.S.C.I. As a condition of membership, each member shall have the obligation to familiarize themselves with the By-Laws.

5.2. Any member who knowingly violates any of these By-Laws or any rule or regulation of M.S.C.I, shall be subject to suspension of privileges or expulsion. The member so charged shall be given the opportunity to disprove such charges at a meeting of the Board of Directors.  Upon the hearing of such charges, the affirmative vote of at least two-thirds of the members of the Board of Directors present shall be required to suspend or expel the charged member. Refer to Article XIII General Laws & Regulations, item 13.9. 

5.3 The Pennsylvania State Game, Fish, Forest and Water Laws are hereby incorporated into and made part of this Constitution and By-Laws, and shall be diligently observed by all members of M.S.C.I. 

5.4 Membership in M.S.C.I. shall not be transferable or assignable. 

5.5 All M.S.C.I. Officers, Directors, and Members, have an obligation to report any person violating club rules or abusing club property to the M.S.C.I. Board of Directors at the ensuing Board of Directors meeting. 

5.6 Any club member using the facilities or on club grounds, must identify themselves, on demand, if requested to do so by a card carrying member of the club.

ARTICLE VI Membership Dues and Initiation Fees 

6.1 The Board of Directors, with the approval of a majority vote of the members in good standing at a regular meeting of M.S.C.I., shall determine the amount of the Initiation Fee and Membership Dues. If a change in the initiation fee, membership dues, or special assessment is to be made, all members in good standing shall be notified in writing two (2) months prior to the vote at the general membership meeting. 

6.2 All approved applicants to M.S.C.I. must pay the initiation fee and membership dues in full at the time of acceptance into membership. 

6.3 Dues are payable from August 31 to December 31 for the ensuing year. Any member refusing or neglecting to pay membership dues or assessments within this period shall be deemed delinquent after December 31 and dropped from the membership roll. Such delinquency can be waived only by a two-thirds affirmative vote of the Board of Directors. 

6.4 Each member shall pay their pro-rata share of any special assessment authorized or levied by a two-thirds vote of the Board of Directors and approved by a two-thirds vote of the members present at a regular or special meeting.

ARTICLE VII Meetings 

7.1 Regular meetings of the membership of M.S.C.I. shall be held on the last Thursday of each month at 8:00 p.m. unless due notice to the membership is given by the Secretary, with the authorization of the Board of Directors, to change the date of such stated meeting. 

7.2 The annual meeting of the membership shall be held on the stated meeting date in August for the primary purpose of electing vacancies on the Board of Directors. 

7.3 Special meetings of the membership may be called at any time by the President or Secretary with the approval of the Board of Directors. Written notice of date and hour as fixed by the Board of Directors of any special meeting shall be mailed by the Secretary to each member not less than fourteen (14) days prior to the date of such meeting. The fourteen (14) day notice may be suspended by the Board of Directors and a shorter time notice given to the membership if an emergency exists requiring immediate attention. 

7.4 The order of business of all general meetings of the M.S.C.I., unless dispensed with by a majority vote of members present, shall be Pledge of Allegiance, conservative pledge, roll call of Directors, reading of minutes of previous meeting and approval thereof, correspondence, treasurer's report, committee reports, old business, new business, and adjournment. 

7.5 The rules for the conduct of all meetings except as otherwise provided in the By-Laws shall be in accordance with Robert's Rules of Order, Revised. 

7.6 Individuals or groups desiring to address the M.S.C.I. Board of Directors must do so in writing to the board, the requesting individual or group will be put on the agenda for the earliest possible directors meeting.

ARTICLE VIII Board of Directors 

8.1 The affairs of M.S.C.I. shall be managed by the Board of Directors. 

8.2 The Board of Directors shall consist of fifteen (15) Senior and/or Life members. 

8.3 The term of office shall be three (3) years with five (5) Directors being elected each year. 

8.4 

A. Directors shall meet at 8:00 p.m. on the first Thursday of each month unless changed by the President and authorized by the Board of Directors. 

B. Ten (10) Directors shall constitute a quo rum at each Director's meeting. 

C. All budgets shall be approved by the Board of Directors and submitted to the general membership within sixty (60) days after the election of the Board of Directors. 

D. Conduct the activities of M.S.C.I. in a prudent, professional and business-like manner. 

E. To enforce these By-Laws and all other reasonable rules and regulations adopted by M.S.C.I. present and future, and to regulate and act on, when necessary, the improper conduct, deportment or sportsmanship of any of its members. 

 

8.5 Each Board member shall have an assigned responsibility for the operation of M.S.C.I. 

8.6. Each Board member shall be required to attend all Board and general membership meetings. Absence from three (3) consecutive meetings, without being excused, shall constitute expulsion from the Board at the discretion of the Board.

ARTICLE IX Election of Board of Directors

9.1. 

A. At the general membership meeting in June, nominations for the expiring terms of Directors shall be made from Senior and/or Life members in good standing. Senior and/or Life members shall be nominated from the floor. No member shall be nominated for the Board of Directors unless they are present or have signified in writing their willingness to serve. No member shall be nominated for the Board of Directors unless they have been a member of M.S.C.I. for three (3) years minimum, and have attended at least (6) of the prior (12) months membership meetings, as evidenced by a sign-in book at each meeting. 

B. Directors whose term has expired shall be eligible for nomination. 

C. All nominees shall be qualified in accordance with these By-Laws. 

D. The Secretary shall prepare the ballot for the membership of all eligible nominees. The nominees shall be placed on the bal lot in alphabetical order identifying the incumbents. Ballots shall be mailed to all members eligible to vote with instructions to return the ballot properly marked and placed in the U.S. Mail or deposited at a M.S.C.I. location in an appropriately marked "Ballot Box" prior to the August annual meeting. 

E. At the August annual meeting the President shall appoint an Election Judge and no less than two (2) Tellers who shall serve as an Election Board. No Nominee or present Director shall serve on this Board. This Board shall conduct an election tabulation of all ballots cast by the eligible membership for each qualified nominee. The Election Judge shall report to the membership the result of the election and give the Secretary the final tabulation to record in the minutes. 

F. The nominees for Directorship holding the five (5) highest number of votes shall serve the full three (3) year term. 

G. Vacancies occurring in any Directorship of M.S.C.I. between yearly elections shall be appointed from qualified members by the President with the majority vote of the Board of Directors to serve the unexpired term of the vacant Directorship.

ARTICLE X Officers 

10.1 The officers shall consist of President, First Vice President, Second Vice President, Secretary and Treasurer, each of whom shall be from the Board of Directors, Their term of office shall be one (1) year or until 1 their successor has been elected. 

10.2 The retiring President shall call a meeting of all Directors eligible to serve for the coming year immediately following the adjournment of M.S.C.I. annual meeting. After the meeting is called to order, the retiring President shall announce that nominations are open for the offices stated in 10.1 above. After nominations have been closed, voting shall be by secret ballot and only a simple majority for each office is required for election. 

10.3 Vacancies occurring in any elected office as in 10.1 above shall be appointed by the President from the Board of Directors or from the Senior and/or Life membership with the approval of two-thirds majority of the Board.

ARTICLE XI Duties of Officers 

11.1 President: Shall exercise general supervision of all affairs of M.S.C.I. The officers and committee chairmen shall be responsible to the President for the proper and faithful discharge of their general duties and shall make regular reports to the President regarding the business of M.S.C.I. under their responsibility. The President shall preside over all meetings of M.S.C.I. and the Board of Directors, enforce strict observance of the By-Laws, appoint all committees, and casts the deciding vote in the event of a tie. The President shall decide important questions impartially and objectively in the best interests of M.S.C.I. and shall perform such duties as are ordinarily performed by the President of any comparable club, organization or business.

11.2 First Vice President: Shall cooperate with the President in carrying out the duties of the President, and assume the duties of the President in the President's absence. 

11.3 Second Vice President: Shall cooperate with the President and First Vice President in the performance of their duties, and assume the duties of the President in the absence of the President and First Vice President. 

11.4 Secretary: Shall keep an accurate record of all general membership meetings and Board of Directors meetings in a bound record book; shall attend to all correspondence and send regular notice to all members of general membership meetings. 

11.5 Treasurer: Shall receive all monies collected from all income-producing functions of M.S.C.I, and shall deposit all monies in a bank or other financial institution as designated or approved by the Directors in the name of M.S.C.I. and for the sole and exclusive use of M.S.C.I. The Treasurer shall make no disbursements in excess of $200.00 without sanction of the general membership of M.S.C.I., except for payment of regular monthly or annual invoices such as: approved budgetary expenditures, salaries, utilities, refuse collection, insurance payments, postage, newsletter preparation and printing expense, mandated interest expense on demand notes, dues for approved memberships and emergency expenses. All checks and drafts from the General Account shall be signed by at least two (2) officers among the President, Treasurer, and Secretary. The Treasurer shall give a financial report of all monies received and disbursed at each Directors and regular membership meeting and shall also be required to present a year-end accounting of all previous year's business. The Treasurer shall complete and sign all tax and other report forms as required by law for and on behalf of M.S.C.I. There shall be an internal audit during the month of October each year of the Treasurer's records. The Treasurer will diligently work with each committee having separate checking accounts and be the co-executioner with the committee chairman. 

11.6 It is the duty of all officers to attend the general membership and Board of Directors meeting.

ARTICLE XII Committees 

12.1 There shall be standing permanent committees consisting of members of the Board of Directors or the general membership appointed by the President. Standing Permanent committees shall be: Farm, Lake, House, Skeet, Trap, Garage, Education, Entertainment, Range, Archery, Special Trap Events, Advertising and Publicity, Membership, and Blackpowder. 

12.2 At regular meeting of M.S.C.I., The President shall present his appointments for the standing committees. 

12.3 The President or Board of Directors shall have the privilege of appointing such other special committees as may be necessary for the efficient management of M.S.C.I. The President may delegate to the committee such powers which are within the scope of these By-Laws. 

12.4 No committee or individual member shall be empowered to take any action or publish any fact or opinion on behalf of M.S.C.I. without prior approval of the Board of Directors. All committees shall make reports to the Board of Directors on all matters considered by them. The Board of Directors shall thereupon take such actions as may be appropriate or may refer the matter to a meeting of the membership. 

12.5 The President shall be designated as a member of all committees and ex-official chairman thereof.

12.7 At the September general meeting the President shall appoint an audit committee of not less than three (3) members to audit the records and accounts of M.S.C.I. Final report will be submitted to the board of directors and read to the general membership at the January general membership meeting.

ARTICLE XIII General Laws and Regulations 

13.1 Any asset belonging to M.S.C.I. shall not be transferred from any fund or account for any purpose except for payment of approved expenses required to operate and enhance the organization. No monies or real property shall be loaned or conveyed with out the approval of the Board of Directors or the membership at a regular scheduled monthly meeting. 

13.2 No person, organization, or commercial enterprise is permitted to publish, print, or in any way use the name of M.S.C.I. or any form of this name without prior written approval of the Board of Directors of M.S.C.I. 

13.3 As a condition of being accepted or continued as a member from year to year, each adult member, for himself, his heirs, representatives and assigns, hereby waives any and all rights which he may now have, or which he may have at any time in the future, to bring any causes of action, and/or recover any damages, for any negligence and/or strict liability whatsoever, against the M.S.C.I., and/or any officer, director or member thereof, arising from any events which may occur on the club's premises, or in connection with any Club activity, which events or activities occur while he is a member of the Club. Each member further agrees that in the event that the Club or any of its officers, directors, or members is joined as a party defendant in any action in which the member is a party plaintiff, the member will, upon request, execute a joint tort feasor's release, in consideration of his membership privileges, and $ 1.00, releasing the Club, its officers, directors and members, from liability for direct, contribution, or indemnity damages, and agreeing to satisfy and judgment rendered in the member's favor to the extent of the proportionate or pro-rata share of liability, if any, of the Club, and/or its officers, directors and/or members. 

13.4 Any action concerning employees of M.S.C.I, regarding salaries, commissions or payments of any kind or nature, working conditions or any action needed of any kind shall be the strict function of the Board of Directors or their appointees. 

13.5 No part of any net profits of any function of M.S.C.I. will insure to or benefit any member of M.S.C.I. without prior approval of the Board of Directors. 

13.6 These By-Laws may be amended or changed. Any amendments or changes are to be submitted in writing to the Board of Directors and read at two (2) successive regular meetings and then voted upon at the third successive regular meeting and then adopted only when approved by a majority vote of the members present. Newly approved rules, constitution or By-Laws of M.S.C.I. will be printed and made available to the membership within sixty (60) days of the adoption of said amendments or changes. 

13.7 Directors' Liability A. General Rule: Except as provided in sub section (B) hereof, a director shall not be personally liable for monetary damages as such for any action taken, or any failure to take any actions unless: 1. the director has breached or failed to per form the duties of his office under section 8363 of the Directors' Liability Act, 42 Pa. C.S.A. Section 8361 et seq., as the same may be amended from time to time, and 2. the breach or failure to perform constitutes self-dealing, willful misconduct or reckless ness. B. Exception: The provisions of this section shall not apply to: 1. the responsibility or liability of a director under any criminal statute, or 2. the liability of a director for the payment of taxes under any local State or Federal law. 

13.8 Indemnification or Advancements 

A. General Rule: Except as provided in subsection (B) hereof, the membership may, but shall have no obligation to, from time to time, and at any time, by a vote of not less than two-thirds of those present at a duly constituted meeting at which a quorum is present: 

1. authorize the appropriate officers of the M.S.C.I. to indemnify in whole or in part, any officer or director who has sustained damages, cost and expenses, as a result of any conduct or failure to act, taken in connection with, or related to, his service as a director or officer of M.S.C.I., to the fullest extent allowed by law, and/or 

2. authorize the advancement of all or part of the costs and expenses of litigation to which he has been, or may be, made a party because of his position as an officer or director of the M.S.C.I., including reasonable attorneys fees, to the fullest extent allowed by law, conditioned upon receipt of a written agreement from him, that all amounts so received from the M.S.C.I. shall be repaid to the M.S.C.I. if it should be ultimately determined that he is not entitled to indemnification under law, and/or under the provisions of this section. 

B. Exceptions: 

1. Advancements and/or indemnification shall not be made for any costs, expenses or damages which are otherwise covered by any policy of insurance. 

2. Indemnification shall not be made in any case where the conduct or failure to act, giving rise to the claim for indemnification is determined by a court to have constituted willful misconduct or recklessness. 

3. Advancements and/or indemnification shall not be made on account of any criminal action or proceeding, unless the membership determines that the person seeking indemnification had no reasonable cause to believe his conduct was unlawful. 

C. Availability of Benefits: the benefits of this section may, at the option of the membership, be granted to, or be continued as to, a person who has ceased to be a director or officer or member, and may, at the option of the membership, insure to the benefit of the heirs, executors and administrators of such person. 

13.9 Suspension or expulsion of a member may occur for such cause as a violation of any of the By-Laws, rules, or regulations of M.S.C.I. or for conduct prejudicial to the best interest of M.S.C.I. Willful acts undermining the goals and objectives of M.S.C.I., its officers, directors, members and employees will be just cause for suspension or expulsion from M.S.C.I. Suspension or expulsion shall be by two-thirds vote of the Board of Directors, provided that a statement of the charges shall have been mailed the member under charges at his/her last recorded address by Certified mail, return receipt at least fifteen (15) calendar days before final action is taken there-on; this statement shall be accompanied by a notice of the time when and place where the Board of Directors is to take action. The member shall be given the opportunity to present a defense at the time and place mentioned in such notice.
